• Platform - the Website https://marketfood.online and the mobile application "Product Market Online" together.
• Business Buyer - a legal entity or sole proprietor acting for business purposes.
• Seller - a legal entity or sole proprietor posting product information on the Platform.
• Courier - an aggregator providing delivery services.
• EDO - electronic document management.

2.1. Full acceptance is: placing the first request, starting to pay invoices, and exchanging documents via EDO.

2.2. The Agreement is deemed concluded once acceptance occurs.

2.3. The subject of the Agreement is the Administration's paid provision of access to the Platform. The Administration is not a party to any sale or delivery agreement.

3.1. By placing an order, the Business Buyer instructs the Administration to forward the offer to the Seller and the Courier.

3.2. Agreements are deemed concluded once the order is automatically confirmed.

3.3. The Seller and the Courier are responsible for product quality and delivery respectively.

4.1. Payment methods:

• Online payment: through the Platform payment gateway.
• Bank transfer: by invoice valid for 3 banking days.

4.2. The Administration accepts payments on behalf of the Seller and the Courier.

4.3. Prices, VAT, and primary documents:

• All prices are in Russian rubles and include VAT.
• Primary documents are sent electronically.
• The Business Buyer recognizes the legal force of electronic documents signed with a qualified electronic signature.

5.1. Delivery terms are determined by the Courier's rates.

5.2. Acceptance of the goods confirms external integrity and completeness.

5.3. Returns are processed under the terms of the Public Offer for Users.

6.1. The Administration ensures availability of key functions for at least 95% of the month. The calculation methodology is defined in Appendix No. 1 (SLA).

6.2. Limitation of liability:

• The Administration is not responsible for losses caused by Sellers or Couriers.
• The Administration's liability is limited to the amount of remuneration for the disputed order.
• The parties exclude recovery of lost profits.

7.1. Personal data is processed in accordance with the Privacy Policy.

7.2. The Administration may change the offer terms by giving 30 calendar days' notice.

7.3. Claims procedure. Claims should be sent to info@marketfood.online. Response time is 30 calendar days.

8.1. Either Party may terminate the Agreement by giving 30 calendar days' notice.

8.2. Force majeure. The parties are released from liability in case of force majeure circumstances.

8.3. Disputes are heard in the arbitration court at the Administration's location.

8.4. Invalidity of one provision does not affect the validity of the others.

8.5. Assignment of rights is not permitted without the Administration's consent.
