1. Terms and Definitions
- Administration (Marketplace) - Limited Liability Company "MarketFood", providing the Buyer access to the information platform.
- Buyer - an individual or legal entity using the Marketplace services.
- Seller - a legal entity or sole proprietor posting product information on the Website and in the App.
- Picker - an employee of the seller who provides goods picking services.
- Courier - an aggregator, legal entity providing delivery services.
- Platform - the Website and the App together.
2. General Provisions. Subject of the Agreement
2.1. This Agreement governs the relationship between the Administration and the Buyer for the provision of information services.
2.2. The subject of this Agreement is the Administration's paid provision of access to the Platform for the purpose of:
- reviewing information about goods and services from Sellers and Pickers;
- placing requests (orders) for goods from Sellers and services from Couriers;
- making payments using the Platform functionality.
2.3. The Administration provides only information and technology services and is not a party to any sales agreement for goods.
2.4. Personal data of the Buyer is processed in accordance with Federal Law No. 152-FZ dated July 27, 2006 "On Personal Data" and the Privacy Policy.
3. Order Interaction and Contract Formation
3.1. By placing an order on the Platform, the Buyer instructs the Administration to forward the offer (request) to the Seller for purchasing goods and to the Courier for delivery services.
3.2. The Administration processes the Buyer's request and forwards the data to the Seller and the Courier:
- within 1 (one) hour after placing the order during business hours (08:00-20:00 MSK);
- within 3 (three) hours outside business hours, on weekends, and on public holidays.
3.3. The sale agreement between the Buyer and the Seller is deemed concluded once order confirmation is received.
4. Liability for Goods and Services
4.1. The Seller bears full responsibility for the quality, safety, and conformity of the goods.
4.2. The Courier is responsible for proper performance of the delivery agreement.
4.3. Prices for goods and services are set by the Seller and the Courier.
5. Payment Procedure
5.1. The Buyer pays for goods and delivery services using payment methods integrated into the Platform.
5.2. The Buyer's payment obligation is deemed fulfilled once the funds are debited.
5.3. Settlements between the Administration and the Seller are governed by a separate agreement.
6. Payment Terms and Procedure
6.1. Payment for the goods and delivery services is made in full at the time of order placement.
6.2. The Buyer's payment obligation is deemed fulfilled once the funds are debited by the payment agent.
6.3. The Administration accepts payments on behalf of the Seller and the Courier.
6.4. The price of the goods is final and includes all applicable taxes.
6.5. In case of order cancellation or product return, funds shall be refunded to the Buyer.
7. Delivery Terms and Procedure
7.1. Delivery services are provided by the Courier.
7.2. Delivery timeframes, costs, and terms are determined by the selected Courier's rates.
7.3. The Seller's obligation to transfer the goods is deemed fulfilled once the handover is confirmed by the Courier.
7.4. The Buyer must check the integrity of the packaging and the conformity of the goods upon receipt.
7.5. If the Buyer is unavailable, the cost of re-delivery is borne by the Buyer.
8. Returns and Refunds
8.1. Return of goods of proper quality is possible within 7 days.
8.2. Return of defective goods is carried out in accordance with consumer protection laws.
8.3. To initiate a return, the Buyer must submit a request through support.
8.4. Refunds are processed within 10 business days.
8.5. The Buyer bears the cost of return shipping for proper-quality returns.
8.6. Refunds for undelivered services are made in full.
9. Dispute and Claim Procedure
9.1. Claims regarding product quality are submitted to the Seller.
9.2. Claims regarding delivery are submitted to the Courier.
9.3. The Seller must independently participate in dispute resolution.
9.4. The Administration acts as an intermediary and facilitator.
9.5. The Buyer may submit a claim through the Marketplace support service.
9.6. Claims to the Administration should be sent to info@marketfood.online. The review period is 30 calendar days.
10. Liability of the Parties and Limitation of the Administration's Liability
10.1. The Administration undertakes to ensure Platform availability. The methodology for calculating availability is defined in Appendix No. 1 (SLA).
10.2. The Administration is not liable for losses arising from the Buyer providing inaccurate information.
10.3. Force majeure. The parties are released from liability in case of force majeure circumstances.
11. Term, Amendment, and Termination of the Agreement
11.1. The Agreement becomes effective upon acceptance and remains in force until all obligations are fulfilled.
11.2. The Buyer may withdraw from the Agreement by deleting the account.
11.3. The Administration may amend the offer terms. The new version becomes effective in 15 calendar days.
12. Miscellaneous
12.1. The Buyer may not assign their rights without the Administration's consent.
12.2. The Buyer agrees to receive electronic notifications.
